In June 2026, ONCAP, through its majority-owned portfolio company Venanpri Group (“Venanpri”), combined Venanpri’s hand tools businesses –operating under the Bellota, Corona and Burgon & Ball brands – with the U.S. and Canadian tool and home organization businesses of Griffon Corporation’s (NYSE: GFF) Consumer and Professional Products segment (“AMES”) to form Veritage Brands, a newly created joint venture. Veritage Brands is a subsidiary of Venanpri, which, together with other affiliates of ONCAP, holds a majority equity interest and controls the business.

Veritage Brands is a global leader in professional and “prosumer” hand tools, home storage and organization products, bringing together a portfolio of iconic, long-tenured brands across the lawn and garden, agriculture, construction and home organization sectors. Many of its brands carry legacies of a century or more, including AMES (since 1774), Burgon & Ball (since 1730), Bellota (since 1908) and Corona (since 1928), alongside Garant, ClosetMaid, Razor-Back, True Temper and Jackson. The business serves a blue-chip, diversified customer base through deep, multi-decade relationships across North, Central and South America, and Europe, supported by a broad operating footprint with major facilities in the United States, Spain, Canada, Mexico and Colombia.
Investment Thesis
ONCAP was attracted to Veritage Brands for several reasons, including its:
(i) a portfolio of industry-leading, iconic brands in enduring, consumable categories;
(ii) significant, highly realizable cost synergies across back-office consolidation, global sourcing, and distribution network rationalization;
(iii) multiple organic growth levers, including a new product pipeline, increased wallet share, and cross-selling opportunities across brands and channels;
(iv) a tenured, industry-leading management team with a history of successfully executing complex integrations and transformational initiatives;
(v) highly visible revenue underpinned by long-tenured relationships with a diversified base of global retailers; and
(vi) a capital-efficient, free cash flow generative operating model that supports de-leveraging and continued growth.
